Terms of Service

1. Introduction
Thank you for your interest in Duzlo, Inc. ("Duzlo," "we," "our," or "us") and our website at www.duzlo.com, including our related applications, platform features, communication tools, and services offered through the website or mobile experience (collectively, the "Service"). These Terms of Service ("Terms") are a legally binding agreement between you and Duzlo regarding your use of the Service.

BY CLICKING "I ACCEPT," OR BY CREATING AN ACCOUNT, FUNDING OR OPERATING A CHANNEL, PUBLISHING CONTENT, SUBMITTING A POST, OR OTHERWISE ACCESSING OR USING THE SERVICE, YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE LEGALLY BOUND BY THESE TERMS, INCLUDING DUZLO'S PRIVACY POLICY AND ANY ADDITIONAL POLICIES OR GUIDELINES REFERENCED HEREIN, SUCH AS THE CONTENT POLICY.
IF YOU DO NOT MEET THE ELIGIBILITY REQUIREMENTS OR DO NOT AGREE TO THESE TERMS, YOU MAY NOT USE THE SERVICE. ANY USE OF THE SERVICE IN VIOLATION OF THESE TERMS IS UNAUTHORIZED. BY CONTINUING TO ACCESS OR USE THE SERVICE, YOU ACKNOWLEDGE AND ACCEPT THESE TERMS AS A BINDING CONTRACT BETWEEN YOU AND DUZLO.
2. Overview of the Duzlo Service
Duzlo is a performance-based content distribution platform designed to help creators grow by rewarding their communities for impact. Through Duzlo, creators, brands, and other eligible users can create and manage creator profiles or distribution spaces ("Channels"), publish or import eligible source media and related opportunities ("Content"), and reward users who submit and share clips, reaction videos, remixes, or other original posts ("Posts") that satisfy the applicable requirements and generate verified engagement (e.g., views) on eligible third-party platforms where the Posts were originally published.
Duzlo also enables channel owners to purchase platform credits ("Credits") that are used to fund rewards, content-specific promotions or boosts, applicable fees, and other charges made available through the Service. A Channel may be configured with spending limits, reward settings, and automatic Credit top-ups tied to a saved payment method.
Duzlo facilitates:
- (a) channel creation, content management, and creator-side funding configuration,
- (b) social account ownership verification and onboarding for users,
- (c) submission, review, and approval of Posts in accordance with Content requirements and platform rules,
- (d) performance-based reward allocation, automated credit purchases and top-ups, and payouts via third-party payment processors (e.g., Stripe), and
- (e) fraud prevention, moderation, and platform-level support.
Duzlo does not guarantee any minimum engagement, exposure, or financial return from using a Channel, publishing Content, or submitting a Post. While Duzlo may review submissions and funding activity to determine compliance with platform criteria, it does not endorse or take responsibility for user-submitted content, creator expectations, or the outcomes of any Channel or Content item.
Duzlo operates solely as a technology platform to streamline channel management, content distribution, credit funding, and reward fulfillment. All rewards and other funds shown on the Service are subject to eligibility verification, available Credits, platform fees, processor requirements, applicable holding periods, and other risk controls.
3. Eligibility
To use Duzlo's platform, users must meet certain eligibility criteria to ensure compliance with applicable laws and maintain a safe environment for all participants.
You must be at least 13 years old to use the Service. If you are under the age of 18, you may participate with the involvement of a parent or guardian for any payment-related activities. This requirement ensures that payment activities comply with relevant legal standards.
By agreeing to these Terms, you represent and warrant to us that: (a) you are at least 13 years old; (b) you have not been previously removed or banned from using the Service; and (c) your registration and use of the Service comply with all applicable laws and regulations. If you are using the Service on behalf of an organization or entity, you represent and warrant that you have the authority to bind that organization to these Terms.
4. Account Registration, Verification, and Payment Setup
To access and use the core features of Duzlo—including creating or operating a Channel, purchasing Credits, authorizing automatic top-ups, submitting Posts, or receiving payouts—you must register for an account and complete Duzlo's applicable verification, billing, and onboarding steps. This may include verifying ownership of any social account(s) you want to submit posts from, linking payment methods for Channel funding, and onboarding with our third-party payment service provider (e.g., Stripe) in order to fund Channels or receive monetary rewards.
4.1 Account Setup
You agree to provide accurate, complete, and up-to-date information when registering for an account and linking any external services or payment methods. You are responsible for all activity under your account, and you agree to safeguard your login credentials. If you suspect your account has been compromised, you must notify us immediately at support@duzlo.com.
4.2 KYC Process
To become eligible to receive monetary rewards, and in some cases to conduct certain payment activities on the Service, you may need to complete identity verification and compliance checks through our payment processor (Payment Provider). This may include submitting personal or business identification, bank information, billing information, and other necessary documents.
4.3 Approval by the Payment Provider
Access to payouts is subject to approval by the Payment Provider. Duzlo has no control over, and is not responsible for, the outcome of these third-party reviews.
4.4 Ongoing Compliance
The Payment Provider or Duzlo may request additional documentation at any time to meet regulatory or operational requirements. Failure to provide such information may result in delayed payouts, suspended access, or account termination.
4.5 Not a Financial Institution
Duzlo is not a bank, money transmitter, or financial services provider. All financial services are handled by the Payment Provider, and your relationship with them is subject to their terms. Duzlo only facilitates the transmission of information between users and the Payment Provider.
4.6 Consequences of Non-Compliance
If you fail to complete onboarding or KYC, or are rejected or flagged by the Payment Provider or Duzlo, we may: (a) prohibit or delay your ability to receive funds or use certain billing features, (b) decline, reverse, or hold Credit purchases or top-ups, (c) pause Channels or close Content to new submissions, (d) suspend or close your account, or (e) take any other action required under law or deemed necessary to protect the integrity of the platform.
Duzlo is not liable for any losses, delays, or damages caused by non-compliance with this Section or with the requirements of the Payment Provider.
5. Channel, Content, and Submission Policies
5.1 Channel Creation, Funding, and Top-Up Policy
Creators may launch Channels on Duzlo by linking or importing eligible source Content, defining reward terms and spending limits, selecting a payment method, and funding the Channel with Credits. A Channel will not be fully active unless it satisfies Duzlo's configuration and funding requirements, which may include maintaining a minimum balance or reserve amount tied to the Channel's spending settings.
To activate or reactivate a Channel, Duzlo may require you to purchase enough Credits to reach a target balance displayed on the Service. In certain cases, this target balance may be greater than your current top-up threshold so that a reserve is available for future reward pacing and automatic top-ups. If you increase a Channel's spending limit, Duzlo may likewise require additional Credits before the updated settings take effect.
If automatic top-ups are enabled, you authorize Duzlo and its Payment Provider to store and use your selected payment method for future off-session purchases of Credits when your Channel balance falls below the applicable threshold shown on the Service. Top-up amounts, timing, and retries may vary based on your Channel settings, available balance, processor rules, risk checks, and payment status. Duzlo may pause a Channel, disable new submissions, or require you to update your payment method if a payment fails, is reversed, or remains pending.
Channel owners are encouraged to define clear, objective Content requirements and to keep Channel and billing settings current. Duzlo reserves the right to pause, limit, cancel, or terminate any Channel that violates our Terms, contains misleading or ambiguous requirements, or fails to comply with our platform policies or payment requirements.
5.2 Content Publication and Management
Channel owners may publish, import, or otherwise make Content available under a Channel, including titles, thumbnails, source links, submission deadlines, and any Content-specific instructions or promotions. Content may open or close to new submissions based on Channel status, Content status, deadlines, available Credits, Content-specific settings, or other platform criteria.
Duzlo may screen, reject, close, remove, or reclassify any Content at its sole discretion. Changes to a Channel or Content item may affect future eligibility for new submissions, but previously approved or otherwise eligible submissions may continue to earn subject to available Credits, pacing rules, caps, fraud review, and other limitations described in these Terms.
Content owners may not use the Service to publish Content that misrepresents the source material, encourages prohibited conduct, or otherwise violates our Terms or Content Policy.
5.3 Submission Policy
Users who submit Posts to Content on Duzlo must agree to these Terms at the time of submission. Submissions must comply with the relevant Content requirements, be published from eligible and verified social accounts, and satisfy Duzlo's technical and platform eligibility rules, including rules relating to timing, originality, format, and ownership.
Duzlo reserves the right to approve or reject any submission at its sole discretion. Decisions may be informed by proprietary systems and internal review tools. Submissions that include manipulated, fraudulent, duplicate, self-dealing, or otherwise illegitimate activity—including botted views or engagement—may be disqualified and may result in rejection, suspension, clawback of previously distributed rewards, or other enforcement action.
Submissions must comply not only with the applicable Content requirements but also with Duzlo's Terms and Content Policy. If a Channel or Content item closes, pauses, or loses sufficient funding, Duzlo may stop accepting new submissions even if the underlying source material remains available elsewhere. Approved or otherwise eligible submissions already in the system may continue to earn subject to available Credits, pacing limits, caps, fraud review, and any other applicable restrictions.
6. Payment Terms
6.1 Overview of Fees, Credits, and Rewards
Some features of the Service, including Credit purchases, automatic top-ups, platform fees, and payments made or received, may be subject to charges. Duzlo reserves the right to determine and modify pricing, platform fees, processing charges, or other amounts applicable to transactions conducted on or through the Service. Applicable fees or charges will be presented to users prior to the relevant transaction where required. By proceeding with the transaction, you authorize the applicable charge.
6.2 Credit Purchases, Stored Payment Methods, and Auto-Top-Ups
Channel owners may purchase Credits to fund rewards and related charges on the Service. Credit purchases may be made manually or automatically pursuant to the Channel settings you configure. By storing a payment method or activating automatic top-ups, you authorize Duzlo and its Payment Provider to charge that payment method, including through off-session transactions, for future Credit purchases in accordance with your Channel settings and these Terms.
Initial activation or reactivation of a Channel may require a Credit purchase sufficient to reach a target balance displayed on the Service, which may exceed the Channel's current top-up threshold. Thereafter, Duzlo may initiate additional Credit purchases when your available balance falls below the applicable threshold, including recurring top-up charges that are generally tied to your configured weekly spend limit or another amount displayed on the Service.
You may update your payment method or pause an eligible Channel to prevent future automatic top-ups, but you remain responsible for amounts already authorized, processed, due, or associated with activity that occurred before the change took effect. Duzlo does not guarantee uninterrupted availability of any particular payment method, billing feature, or processor workflow.
6.3 Reward Calculation and Payouts
When the submission of a Post is approved under eligible Content, the user may earn rewards, which will be displayed in the user's platform balance. Rewards may be funded from Channel-level reward settings, Content-specific promotions or boosts, or both, and may be allocated over time based on verified performance, pacing rules, available Credits, applicable caps (including CPM or similar limits), and other eligibility rules that Duzlo may apply from time to time.
Duzlo facilitates payout of eligible rewards through a third-party payment processor (e.g., Stripe) and payouts may be subject to minimum payout thresholds, processor approval, scheduled payout cycles, or manual withdrawal steps, which may change over time.
6.4 Platform Fees
Applicable platform fees help support the operation of the Service, including but not limited to hosting and payment processing costs, channel and content management, customer support, and administrative services that enable the Duzlo platform.
6.5 Subject to Change
Duzlo may adjust its fees at any time, and any changes will apply to future transactions after notice is provided.
6.6 Holding Period and Processing Time
Rewards earned from Channels or Content may be subject to a brief processing or holding period to allow for fraud monitoring, dispute resolution, and settlement of the underlying funding activity. Duzlo does not guarantee a specific timeline for fund availability, as timing depends on internal risk reviews and the policies of the Payment Provider. An estimated timeline will appear on the associated transaction on the platform.
6.7 Refunds and Clawbacks
Duzlo reserves the right to reverse or reclaim (claw back) any amounts paid to users if the associated activity is later determined to be fraudulent, ineligible, or in violation of our Terms. This includes, but is not limited to, activity involving artificial engagement such as botted views, likes, or comments. In such cases, Duzlo may reallocate funds to the applicable Channel balance, Content budget, or original funding source, or otherwise adjust account balances on the Service, at its sole discretion and where technically feasible. Any refunds, reversals, or returns of the underlying reward amount do not obligate Duzlo to refund the Platform Service Fee; however, Duzlo may, at its sole discretion, choose to refund the Fee in certain exceptional circumstances.
6.8 Tax Responsibility
You are solely responsible for determining and fulfilling your tax obligations related to your use of the Service. Where required, Duzlo or its Payment Provider may report your earnings to tax authorities and issue relevant forms (e.g., IRS Form 1099).
6.9 Currency and Conversions
All fees, payments, and rewards on Duzlo are processed in U.S. dollars unless otherwise stated. Currency conversions and cross-border payments are subject to the policies and fees of the Payment Provider.
6.10 Delinquent Accounts
Duzlo reserves the right to suspend or terminate access to the Service, or pause related Channels or Content, for any account for which any amount is due but unpaid, including failed or reversed Credit purchases or automatic top-ups. In addition to the amount due for the Service, a delinquent account will be charged with fees or charges that are incidental to any chargeback or collection of any of the unpaid amount, including collection fees.
7. Channel Participation, Content Use, and Promotional Conduct
By creating, funding, publishing, or participating in Channels or Content on Duzlo, you agree to the following standards of conduct:
- You will present Duzlo, its platform, and any Channel, Content item, or associated opportunity in an honest, clear, and truthful manner. You must not misrepresent your relationship with Duzlo, any channel owner, or the expected outcomes of a Post, Channel, or Content item.
- If you may earn compensation, rewards, or benefits as a result of a Post or other content created in connection with a Channel or Content item, you must clearly and conspicuously disclose that relationship in accordance with applicable law, including the FTC's Endorsement Guidelines.
- Your Posts and any other promotional content must not: (a) violate copyright, trademark, or other intellectual property rights, (b) contain adult, violent, defamatory, or otherwise harmful content, (c) promote misleading, deceptive (e.g., clickbait), or illegal claims, or (d) include religious extremism or discriminatory views.
- You agree to follow all Channel-specific and Content-specific rules, Duzlo's Terms of Service, and our Content Policy. You may not use Duzlo's name or brand in paid advertising (e.g., PPC, keyword bidding, sponsored posts) without written permission from Duzlo.
- You may not artificially boost views, engagement, or performance through bots, automation, or misleading techniques.
- If you violate this section, Duzlo may withhold or reclaim funds, reject your submissions, or suspend or terminate your account.
Channel owners must also ensure their Channels and Content do not encourage or require participants to violate any of the above standards. Channel owners are responsible for setting fair, lawful, clearly defined requirements and for maintaining sufficient funding if they want their Channels to remain open to new submissions.
8. User Content and License Grant
Users may generate or contribute content on Duzlo in a variety of forms, including but not limited to Channel details, Content details, Post submissions, display names, bios, and other platform interactions ("User Content").
8.1 Ownership
You retain all rights and ownership to your User Content. However, by submitting or posting User Content on the Service, you grant Duzlo a worldwide, non-exclusive, royalty-free, fully paid, sublicensable, and transferable license to use, reproduce, distribute, publicly perform, publicly display, modify, adapt, and create derivative works from your User Content for the purposes of providing, improving, promoting, and operating the Service, including in social media and other marketing campaigns.
8.2 Content Standards
You agree not to submit any User Content that:
- (a) infringes, misappropriates, or violates any third-party intellectual property rights,
- (b) is misleading, false, or deceptive,
- (c) is unlawful, defamatory, harassing, hateful, discriminatory, obscene, pornographic, or otherwise objectionable,
- (d) promotes illegal or harmful activities, including violence or exploitation,
- (e) includes private or confidential information without authorization, or
- (f) impersonates any person (e.g., through the use of artificial intelligence) or misrepresents your identity or affiliation.
8.3 Rights and Enforcement
Duzlo may screen, moderate, remove, or refuse to distribute any User Content at its sole discretion and without prior notice. You acknowledge that Duzlo has no obligation to monitor User Content but reserves the right to do so to enforce these Terms and maintain the integrity of the platform.
8.4 Representations and Warranties
By posting or submitting User Content, you represent and warrant that:
- (a) you are the sole and exclusive owner or have all necessary rights, licenses, consents, and releases to grant the rights granted under these Terms,
- (b) your User Content and submission thereof will not violate any law or infringe the rights of any third party, and
- (c) your User Content complies with these Terms and our Content Policy in all respects.
Violation of this Section may result in suspension or termination of your account and/or removal of your User Content, at Duzlo's discretion.
9. Third-Party Services and Integrations
9.1 Third-Party Platforms and Linked Accounts
The Duzlo Service may allow you to connect or integrate with third-party platforms, including but not limited to social media accounts, bank accounts, and payment processors. By linking any third-party account to your Duzlo profile, you represent that you have the authority to grant Duzlo access to that account and its content. You acknowledge that your use of any third-party service is governed by the terms and conditions of those providers, and Duzlo is not responsible for the performance, functionality, or accuracy of any third-party service.
9.2 Content Distribution via Third-Party Services
Your Posts submitted to Content or other opportunities on Duzlo must originate from eligible third-party platforms. Duzlo may access data from these platforms to verify ownership, view counts, engagement metrics, or other eligibility signals. Duzlo does not guarantee the availability, accuracy, or continued functionality of any third-party integrations.
9.3 No Endorsement
The appearance or integration of any third-party service or content on the Duzlo platform does not constitute an endorsement or affiliation, unless explicitly stated. You access third-party services at your own risk, and Duzlo is not liable for any loss, damage, or claim arising from your use of or reliance on them.
9.4 Third-Party Terms
You agree to comply with any applicable third-party terms and policies when using the Service. This includes, but is not limited to, the terms of the social platforms from which you submit Posts, and the terms of the Payment Provider facilitating your payouts.
10. Prohibited Conduct
You agree not to use the Service in any way that violates these Terms, our Content Policy, applicable laws, or the rights of others. Specifically, you must not:
- Use the Service to post or distribute content that violates any law, regulation, or third-party rights (including intellectual property or privacy rights).
- Engage in fraudulent behavior, including impersonation, misrepresentation, or attempts to artificially inflate Channel, Content, or submission performance through bots, automation, or coordinated manipulation of views, comments, or engagement metrics.
- Circumvent or attempt to bypass any security measures, access restrictions, or verification systems on the platform.
- Interfere with the normal functioning of the Service, including by introducing malware, exploiting software bugs, or using scraping or reverse engineering tools.
- Engage in any harassment, hate speech, or abusive conduct directed at other users or Duzlo team members, whether on or off the platform.
- Use Duzlo to solicit or conduct non-commercial peer-to-peer money transfers, or participate in deceptive Channels, Content opportunities, or schemes.
- Use Duzlo's brand, name, or likeness without written permission in advertising, content, or promotions, including PPC campaigns or sponsored social posts.
- Participate in or facilitate Channels, Content, Posts, or submissions that include:
- Content promoting violence, hatred, discrimination, or illegal activity.
- Sexual content, adult themes, or obscene material.
- Misinformation, deceptive health claims, or unsubstantiated earnings claims.
- Unauthorized use of copyrighted or trademarked material.
Violation of this section may result in immediate removal of content, reversal of payments, suspension or termination of your account, and/or legal action, at Duzlo's sole discretion.
11. Intellectual Property Rights Protection
Duzlo respects the intellectual property rights of others and expects users of the Service to do the same. In accordance with applicable intellectual property laws, Duzlo has adopted and implemented a policy that provides for the termination, in appropriate circumstances, of users who are repeat infringers.
11.1 Respect for IP Rights
You may not use the Service to infringe, misappropriate, or violate any intellectual property rights, including but not limited to copyrights, trademarks, patents, or trade secrets. Any use of another's content without proper authorization may result in account suspension or termination.
11.2 DMCA Compliance
If you believe that content on Duzlo infringes your copyright, you may submit a DMCA-compliant notice to our designated agent at legal@duzlo.com. Your notice must include all information required by 17 U.S.C. § 512(c)(3), including your contact information, a description of the copyrighted work, identification of the allegedly infringing material, and a statement under penalty of perjury that the claim is accurate.
11.3 Counter Notifications
If your content was removed due to a DMCA complaint and you believe the removal was in error, you may file a counter notification that includes the required elements under 17 U.S.C. § 512(g). We will forward your counter notice to the original complaining party and, unless legal action is initiated within 10 business days, we may restore the removed content.
11.4 Repeat Infringers
Duzlo may terminate accounts of users who are determined to be repeat infringers of intellectual property rights. This includes those who have received multiple DMCA takedown notices or have otherwise engaged in conduct that repeatedly violates this policy.
11.5 No License or Ownership Granted
Except as expressly provided in these Terms, nothing grants you ownership of or a license to use any Duzlo trademarks, service marks, or other intellectual property. All rights not expressly granted are reserved by Duzlo or the respective rights holders.

12. Affiliate Program
12.1 Overview and Eligibility
The Duzlo Affiliate Program ("Affiliate Program") is offered to eligible users who wish to promote the platform and earn rewards for referrals. To participate in the Affiliate Program, you must first complete the Stripe onboarding process to confirm your eligibility to receive payments. Participation in the program is subject to Duzlo's approval and may be revoked at any time for non-compliance with these Terms.
12.2 How It Works
Once approved, affiliates can share their unique referral code or link with others. When a new user signs up through your referral, they will receive a promotional bonus credited to their Duzlo balance. You will also earn a commission based on a percentage of the referred user's net earnings, paid by Duzlo. This commission does not reduce the referred user's earnings or payout.
12.3 Promotional Bonus and Commission Terms
Bonuses and commissions are subject to standard payout thresholds and processing timelines. The duration of the commission program is indefinite, though Duzlo reserves the right to modify or end the commission structure at any time with or without notice.
12.4 Conduct Requirements
Affiliates must present Duzlo in a clear, honest, and compliant manner. Additionally, Affiliates agree that they will not purchase keywords, engage in PPC bidding or other paid promotions with keywords, on the following keywords, or misspellings of these: Duzlo, Duzlo discount, Duzlo coupon, either alone or in combination with other terms or keywords, unless they have obtained prior written approval, which may be granted, denied, or conditioned at Duzlo's sole and absolute discretion. Misrepresentation, spam, use of misleading claims, or violation of these Terms may result in termination from the Affiliate Program and forfeiture of accrued rewards.
12.5 No Guarantees
Duzlo makes no guarantee of earnings through the Affiliate Program. All rewards are performance-based and subject to ongoing compliance. For questions or to report abuse of the program, contact us at support@duzlo.com.
13. Modifications to Terms
Duzlo may revise these Terms from time to time to reflect changes to the Service, applicable laws, or business practices. When we make material changes, we will provide reasonable notice—such as by posting an update on the platform or notifying you directly via email or in-app alerts.
By continuing to use the Service after those changes become effective, you agree to be bound by the revised Terms. If you do not agree to the updated Terms, you should discontinue your use of the Service and close your account.
Any modifications to these Terms will not apply retroactively unless required by law. We encourage you to review these Terms regularly to stay informed of any updates.
14. Termination and Account Closure
14.1 Termination by You
You may stop using the Service and terminate your account at any time by contacting us at support@duzlo.com. Upon termination, you will lose access to your account, including any Channel data, Content data, submissions, or balances not yet eligible for withdrawal.
14.2 Termination by Duzlo
We reserve the right to suspend or terminate your account or access to the Service at any time, with or without notice, for any reason, including but not limited to:
- (a) violation of these Terms or applicable laws,
- (b) fraudulent, deceptive, or abusive behavior,
- (c) submission involving artificial or ineligible activity (e.g., botting),
- (d) continual failure to meet verification or compliance requirements.
14.3 Effect of Termination
Upon termination:
- (a) any pending or ineligible balances may be forfeited,
- (b) approved submissions, Channels, Content records, and related materials may be retained for recordkeeping or promotional purposes,
- (c) Duzlo may withhold or reverse payments if fraudulent or non-compliant activity is discovered, or
- (d) these Terms will continue to apply with respect to any prior use of the Service.
14.4 No Liability for Termination
Duzlo is not liable for any damages, losses, or claims resulting from the suspension or termination of your account or access to the Service, including the loss of any User Content or any Channel or Content data, status, or progress.
15. Indemnity
To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Duzlo, its affiliates, and their respective officers, directors, employees, contractors, agents, and licensors from and against any claims, demands, disputes, liabilities, damages, losses, and costs and expenses (including legal fees and costs) arising out of or in any way connected with:
- (a) your access to or use of the Service,
- (b) your User Content, Channels, Content, or submitted Posts,
- (c) your violation of these Terms or any applicable law or regulation,
- (d) your breach of any third-party rights, including intellectual property or privacy rights, or
- (e) any dispute between you and another user of the Service.
We reserve the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims. You must not settle any claim without our prior written consent.
16. Disclaimers
16.1 Use of the Service at Your Own Risk
You acknowledge and agree that your use of the Service is at your sole risk. The Service and all related content, tools, features, and communications are provided "as is" and "as available," without warranty of any kind, either express or implied.
16.2 No Warranties
To the maximum extent permitted under applicable law, Duzlo disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising out of course of dealing or usage of trade. Duzlo makes no warranty that the Service will meet your requirements or be available on an uninterrupted, secure, or error-free basis.
16.3 Platform and Content Accuracy
We do not guarantee the accuracy, completeness, or usefulness of any content available on the Service. We are not responsible for any decisions you make based on content made available through the platform, including Channel descriptions, Content descriptions, performance metrics, or promotional claims.
16.4 Channels, Content, and User Content
Duzlo is not responsible for the outcome of any Channel or Content item or the accuracy, legality, or appropriateness of User Content. We do not endorse or guarantee any particular result from creating, funding, publishing, or participating in any Channel or Content item, nor do we review Posts for factual accuracy or effectiveness. You acknowledge that any reliance on Channel-related, Content-related, or other user-generated information is done at your own risk.
16.5 No Liability for Third-Party Services
Duzlo does not warrant or assume responsibility for any product, service, or feature provided by a third party, including social platforms, linked accounts, or payment providers. Your use of those services is governed by their respective terms.
17. Limitation of Liability
17.1 No Indirect Damages
To the fullest extent permitted by law, Duzlo and its affiliates, directors, officers, employees, contractors, and agents will not be liable to you or any third party for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, business interruption, loss of data, or other intangible losses arising from or related to your use of (or inability to use) the Service, even if we have been advised of the possibility of such damages.
17.2 Aggregate Liability Cap
To the fullest extent permitted by law, Duzlo's total liability for all claims arising out of or relating to these Terms or the Service will not exceed the greater of: (a) the total amount you paid to Duzlo (if any) for access to the Service in the twelve (12) months prior to the event giving rise to the claim, or (b) one hundred U.S. dollars (US $100).
17.3 Basis of the Bargain
Each provision in these Terms that limits liability, disclaims warranties, or excludes damages is intended to allocate the risks between the parties and forms an essential basis of the bargain between you and Duzlo. These limitations apply even if a limited remedy fails of its essential purpose.
17.4 Time Limit to Bring Claims
You agree that any claim or cause of action arising out of or related to the use of the Service or these Terms must be filed within one (1) year after the cause of action arose; otherwise, such claim or cause of action is permanently barred.
18. Dispute Resolution and Arbitration
18.1 Agreement to Arbitrate
You and Duzlo agree that any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Service will be resolved through final and binding arbitration, rather than in court. This includes claims based in contract, tort, statute, fraud, misrepresentation, or any other legal theory. By agreeing to these Terms, you and Duzlo each waive the right to a jury trial and to participate in a class action or representative proceeding.
18.2 Exceptions
This arbitration agreement does not apply to:
- (a) individual actions in small claims court;
- (b) claims seeking injunctive or equitable relief for intellectual property infringement or misuse; or
- (c) actions to enforce or challenge the validity of arbitration agreements.
18.3 Opt-Out Procedure
You may opt out of this arbitration agreement within 30 days of first accepting these Terms by sending a written notice to Duzlo Inc., Attention: Legal Department – Arbitration Opt-Out, 1606 Headway Cir., Ste. 9743, Austin, TX 78754 with your full name, the email address associated with your account, and a statement that you wish to opt out of arbitration. If you opt out, this Section will not apply to you.
18.4 Arbitration Procedures
The arbitration will be conducted by a neutral arbitrator under the rules of the American Arbitration Association ("AAA") or another recognized provider agreed to by both parties. Unless otherwise agreed, arbitration will take place virtually or in the county where you reside. The arbitrator's decision will be final and binding, and judgment on the award may be entered in any court with jurisdiction.
18.5 No Class Actions
You and Duzlo agree that disputes will be resolved only on an individual basis and not in a class, consolidated, or representative action. The arbitrator may not consolidate more than one person's claims and may not preside over any form of a representative or class proceeding.
18.6 Costs of Arbitration
Duzlo will cover all arbitration filing fees and arbitrator costs for claims totaling less than $10,000 unless the arbitrator determines your claims are frivolous. Each party will bear its own legal fees and expenses unless awarded otherwise by the arbitrator under applicable law.
18.7 Enforceability
If any part of this arbitration agreement is found to be unenforceable, that part will be severed, and the rest will remain in full force and effect. If the entire arbitration agreement is found to be unenforceable, the exclusive jurisdiction and venue described in Section 19 will apply to any disputes arising out of these Terms.
19. Governing Law and Jurisdiction
These Terms and any related actions or disputes will be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. If for any reason a claim proceeds in court rather than in arbitration, you and Duzlo agree to the exclusive jurisdiction and venue of the state and federal courts located in Delaware for the purpose of litigating such claims, and you waive any objection as to inconvenient forum.
The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms or your use of the Service.
20. Miscellaneous
20.1 Entire Agreement
These Terms, along with our Privacy Policy and any other legal notices published by Duzlo, constitute the entire agreement between you and Duzlo concerning the Service.
20.2 Assignment
You may not assign or transfer these Terms, by operation of law or otherwise, without Duzlo's prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and of no effect. Duzlo may freely assign or transfer these Terms without restriction.
20.3 Waiver and Severability
Duzlo's failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions of these Terms will remain in full force and effect.
20.4 Force Majeure
Duzlo shall not be held liable for any delay or failure in performance resulting from causes beyond its reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
